7. PROCEDURE:
a. Buyer sends ICPO with BCL + . Seller issue FCO to the buyer. Buyer signs FCO and sends to seller with a letter of acceptance.
c. Upon acceptance of draft contract. Buyer and seller execute the contract.
d. Seller sends legalized hard copies and contract via courier for final signatory. Both parties lodge
contract in respective banks.
e. Seller’s bank notifies the buyer’s bank that they are ready to issue non-operative 2% PB with the
proof of product (POP) to buyer’s bank. The 2% PB will be placed in buyer’s account should the
seller fail to supply the cargo of the product, this 2% PB will be paid to buyer and intermediaries
accordingly as compensation.
f. Buyer’s bank issue 100% confirmed Non Transferable DLC for each cargo shipment of monthly
delivery.
g. Seller’s bank issue 2% PB to the buyer’s bank which will automatically activate the SBLC and the
full POP via swift.
h. The SGS inspection will borne by seller.
i. Delivery Commence as scheduled.

The present Price list is based on direct Allocation from the Producer.
The origin of the urea is Malaysia, Russian or at Seller’s option.
Required Payment Instrument will be an Irrevocable, Transferable, Issued or Confirmed by a first class world bank
acceptable to the Seller, Monthly Automatically Revolving Letter of Credit payable 100% at sight, per each shipment,
against shipping documents as per UCP500/600.
Commissions: the prices hereby mentioned include USD1/MT commissions. If higher commissions are required then
they would be added on a basis of 50% to Buyer side and 50% to Seller side (for every USD1/MT added the Buyer side
will get USD0.50/MT).
The INCOTERMS of the herein mentioned prices is CIF (Cost, Insurance, Freight) ASWP (USA non sanctioned ports).

- The Buyer shall produce an ICPO/LOI accompanied by a BCL/Bank RWA Letter, or a Soft Probe

- The Seller shall produce a FCO accompanied by a Soft POP; the signed in Acceptance FCO will be returned
to the Seller;
- The Seller shall produce a Draft Contract; once the wording is agreed by the Parties, and the Draft
Contract is executed by both Parties, the Original Contract will be sent to the Buyer;
- The executed Original Contract shall be lodged in the respective banks, and a Pre-advise L/C shall be sent
for Seller’s, his JV Partner and their Bank acceptance;
- Once the wording of the L/C is agreed, Buyer’s bank shall produce a Non-Operative L/C;
- The Seller shall automatically Activate the Non-Operative L/C by a 2% PBG and a Hard POP sent by a swift
message;
- The supply shall commence as per the Contract, within 30-45 days since an Operative and Accepted
Payment Instrument exists in Seller’s bank.

PROCEDURE
This transaction is performed as OFF THE MARKET - PRIVATE SPOT DEAL in the mode of Bank to Bank transfer transaction, under the following procedures agreed herein by the parties.
A. THE BUYER MUST RESPOND TO THIS OFFER WITHIN 5 BANKING DAYS WITH AN INTENT TO BUY FROM RECEIPT HEREOF OTHERWISE THIS OFFER SHALL BE CONSIDERED WITH DRAWN AND WITHOUT ANY FORCE AND EFFECT. THE INTENT TO BUY MUST HAVE THE BANK COORDINATES TOGETHER WITH THE NAME OF THEIR BULLION OFFICER, ADDRESS AND CONTACT NUMBER.
B. THE SELLER’S BULLION OFFICER SHALL CONTACT THE BUYER’S BULLION OFFICER TO SET A WINDOW TIME FOR CONFIRMING THE STOCK AND DOCUMENTS AND THE FUNDS.
C. UPON CONFIRMATION OF THE BUYER’S BULLION OFFICER OF THE AVAILABILITY OF THE DOCUMENTS AND STOCKS, THE BUYER’S BULLION OFFICER COMMITS TO CONFIRM TO THE SELLER’S BULLION OFFICER THE PHYSICAL PRESENCE OF CLEAN AND CLEAR FUNDS BLOCKED FOR PAYMENT FOR ONE THOUSAND (1,000) METRIC TONS OF GOLD METAL.
D. THE FINAL PURCHASE CONTRACT SHALL BE PREPARED AND SIGNED BY THE SELLER AND BUYER OR THEIR AUTHORIZED REPRESENTATIVES AND THE SIGNED AND NOTARIZED CONTRACTS SHALL BE LODGED WITH THEIR RESPECTIVE BANKS.

E. AFTER CONFIRMATION AND VERIFICATION BY BOTH PARTIES AS STATED ABOVE A WINDOW TIME TO IMPLEMENT THIS FINAL PURCHASE CONTRACT SHALL BE AGREED UPON BY THE RESPECTIVE BANK OFFICERS OF THE PARTIES. OFFICAL TRANSFER OF OWNERSHIP OF ALL DOCUMENTS FROM THE SELLER/OWNER TO THE BUYER WILL BE EXECUTED AFTER PAYMENT.
F. LIFTING AND TRANSFER OF THE SUBJECT COMMODITY TO BUYER’S CHOOSEN DESTINATION SHALL BE AT BUYER’S ACCOUNT AND RESPONSABILTY. THE SELLER SHALL ASSIST THE BUYER IN CASE THEY ENCOUNTER PROBLEMS IN SECURING EXPORT PERMIT.
G. SELLER AND BUYER AGREE TO ADHERE AND COMPLY WITH THE INTERNATIONAL CHAMBER OF COMMERCE (ICC) POLICY.
